1. Welcome to Harper
Welcome to Harper Can Help™.
Harper was developed on the belief that people deserve timely, personalized, and evidence-informed wellness support before life's challenges become overwhelming. Our mission is to help individuals better understand their cognitive, emotional, physical, social, occupational, and life-stage wellbeing through personalized Check-Ins, educational insights, adaptive wellness pathways, AI-supported guidance, Peer Support, Professional Referral services, and ongoing progress tracking.
These Terms of Use, together with our Informed Consent, Privacy Policy, Platform Policies, and any additional policies or agreements expressly incorporated by reference (collectively, the "Legal Framework"), govern your access to and use of the Harper Can Help™ Platform.
This Legal Framework applies to all Harper products, services, websites, mobile applications, software, modules, communications, reports, educational content, artificial intelligence features, Peer Support services, Professional Referral services, Harper Signal™, Harper Pathways™, and any future products or services made available by Harper Can Help Inc. or Harper Can Help US Inc. (collectively referred to as the "Platform").
Please read this Legal Framework carefully before creating an account or using the Platform.
By creating an account, accessing the Platform, completing a Harper Check-In™, selecting "I Accept," or otherwise using any portion of the Platform, you acknowledge that you have read, understood, and agree to be legally bound by this Legal Framework.
If you do not agree with these Terms, you should not create an account or use the Platform.
2. Understanding These Terms
Throughout this Legal Framework, certain words have specific meanings intended to ensure consistency and clarity.
"Harper," "Company," "we," "our," or "us" refers collectively to Harper Can Help Inc., Harper Can Help US Inc., their affiliates, subsidiaries, successors, assigns, officers, directors, employees, contractors, licensors, advisors, technology providers, and authorized representatives.
"Platform" refers to the complete Harper Can Help™ digital ecosystem, including all websites, mobile applications, software, databases, Check-Ins, assessments, personalized reports, educational resources, AI-supported features, Peer Support services, Professional Referral services, Harper Signal™, Harper Pathways™, communications, analytics, dashboards, and future products or services offered by Harper.
"User," "Client," "you," and "your" refer to any individual or organization accessing or using the Platform, whether as an individual subscriber, employee, member, student, athlete, first responder, healthcare professional, corporate client, educational institution, government organization, union, association, or other authorized participant.
A "Check-In" refers to Harper's proprietary, non-diagnostic wellness review process designed to assist users in better understanding various aspects of their overall wellbeing through evidence-informed questionnaires, proprietary wellness measures, adaptive branching, and educational guidance.
"Personalized Insights" refer to informational summaries generated from information voluntarily provided by a User together with Harper's proprietary scoring methodologies, adaptive branching logic, wellness frameworks, and AI-assisted technologies. Personalized Insights are intended to provide educational wellness information and should not be interpreted as medical advice or clinical conclusions.
"Artificial Intelligence" or "AI" refers to machine learning models, natural language processing systems, automated reasoning technologies, and other computational systems used by Harper to generate educational content, summarize information, personalize user experiences, support wellness navigation, facilitate engagement, and improve Platform functionality.
"Peer Support" refers to voluntary, non-clinical interaction between Users for the purpose of sharing lived experiences, encouragement, and mutual support. Peer Support is not healthcare, counselling, psychotherapy, crisis intervention, or emergency response.
"Professional Referral Network" refers to Harper's directory and referral services intended to help Users identify independent healthcare professionals, wellness providers, community organizations, or other support services based upon User preferences and available information. Harper does not provide healthcare services through the Professional Referral Network.
"Corporate Client" refers to any employer, educational institution, government agency, union, association, insurer, nonprofit organization, athletic organization, or other entity that licenses, sponsors, or otherwise provides access to the Platform for its employees, members, students, clients, or other authorized users.
Unless otherwise stated, words used in the singular include the plural, and words used in the plural include the singular. Headings are provided for convenience only and shall not affect the interpretation of this Legal Framework.
3. Using Harper
Harper is intended to provide individuals and organizations with a personalized wellness navigation experience that promotes greater awareness of cognitive, emotional, physical, social, occupational, and life-stage wellbeing through educational resources, evidence-informed methodologies, personalized insights, adaptive support pathways, progress tracking, and connections to appropriate support resources.
By using the Platform, you represent and warrant that you are legally capable of entering into a binding agreement under the laws applicable in your jurisdiction or that you have obtained any consent required from a parent, legal guardian, employer, educational institution, or other authorized representative where applicable.
You agree to use the Platform only for lawful purposes and in accordance with this Legal Framework. You further agree that all information you voluntarily provide to Harper will be complete, truthful, and accurate to the best of your knowledge. Because the Platform generates Personalized Insights based upon information supplied by Users, you acknowledge that inaccurate, incomplete, or misleading information may affect the usefulness of the educational information generated by the Platform.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. You agree to notify Harper promptly if you become aware of any unauthorized access to your account or any other security concern involving the Platform.
Harper grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal use or for authorized organizational purposes, subject to this Legal Framework. No ownership interest in the Platform or its intellectual property is transferred to you through your use of the Platform.
You agree not to misuse the Platform or attempt to interfere with its operation. Without limiting the generality of the foregoing, you agree not to access the Platform through unauthorized means, interfere with Platform security, reverse engineer proprietary technologies, copy or distribute Platform content without authorization, impersonate another individual, submit knowingly false information, use automated tools to extract Platform data, or engage in any activity that could impair the functionality, security, or integrity of the Platform.
Harper reserves the right, at its sole discretion and without prior notice where permitted by applicable law, to modify, enhance, suspend, discontinue, restrict, or terminate any aspect of the Platform, including its features, methodologies, assessments, AI functionality, educational resources, modules, communications, or services. Harper may also suspend or terminate access where it reasonably believes a User has violated this Legal Framework, misused the Platform, created a security risk, or otherwise acted in a manner inconsistent with the intended purpose of the Platform.
From time to time, Harper may revise this Legal Framework to reflect changes in applicable laws, technological developments, Platform functionality, or business operations. Where required by law, Harper will provide reasonable notice of material changes. Your continued use of the Platform following the effective date of any revised Legal Framework constitutes your acceptance of those changes.
4. Understanding What Harper Does
Harper Can Help™ is a personalized wellness navigation platform designed to help individuals better understand, support, and strengthen their overall wellbeing. The Platform combines evidence-informed wellness measures, proprietary assessment methodologies, adaptive pathways, educational resources, artificial intelligence, progress tracking, Peer Support opportunities, and Professional Referral services to provide Users with timely, personalized wellness information that encourages greater self-awareness and informed decision-making.
The Platform is intended to help Users better understand the many factors that influence overall wellbeing, including cognitive, emotional, physical, social, occupational, financial, relational, environmental, and life-stage wellness. Depending upon the module being used, Harper may also explore topics such as resilience, stress, burnout, sleep, body confidence, social connection, cognitive load, invisible labour, caregiver responsibilities, identity and life transitions, financial wellbeing, purpose, recovery, and other dimensions of wellness.
Harper utilizes both standardized evidence-informed measures and proprietary Harper methodologies to generate Personalized Insights based upon information voluntarily provided by the User. These Personalized Insights are intended to assist Users in recognizing personal strengths, identifying opportunities for growth, understanding areas that may benefit from additional attention, and navigating appropriate educational resources or support options.
The Platform may recommend educational content, wellness pathways, self-directed exercises, progress tracking tools, Peer Support opportunities, or Professional Referral options that appear relevant based upon the User's responses. These recommendations are intended to increase awareness and encourage proactive wellness planning. Users remain solely responsible for determining whether any recommendation is appropriate for their own circumstances.
Harper is designed to support individuals across a variety of life experiences and professional environments through specialized modules that may include general population wellness, women's wellness, adolescents, athletes, first responders, trades professionals, educators, workplaces, healthcare professionals, and other specialized populations. While each module may contain unique educational content and proprietary wellness pathways, all modules operate under the same guiding principle of providing educational, evidence-informed, non-diagnostic wellness navigation.
Harper continuously improves the Platform through quality assurance, evidence-informed development, user feedback, ongoing validation, research initiatives, and responsible innovation. As new scientific evidence, technologies, and wellness methodologies emerge, Harper may modify or expand its features, educational resources, adaptive pathways, proprietary wellness constructs, and Platform capabilities in order to improve the overall user experience.
5. What Harper Does Not Do
Although Harper is designed to provide meaningful wellness insights and educational guidance, it is important that Users understand the intended scope and limitations of the Platform.
Harper is not a hospital, physician, psychologist, psychiatrist, psychotherapist, counsellor, social worker, nurse, healthcare provider, crisis service, emergency response provider, medical device, or regulated healthcare professional. Use of the Platform does not create a physician-patient relationship, therapist-client relationship, psychologist-client relationship, fiduciary relationship, or any other professional healthcare relationship between the User and Harper.
The Platform does not diagnose, treat, cure, prevent, monitor, or predict medical conditions, mental illnesses, psychiatric disorders, neurological disorders, substance use disorders, or other healthcare conditions. Any scores, Personalized Insights, educational content, AI-generated summaries, reports, adaptive pathways, recommendations, or other information generated by the Platform are intended solely for educational and informational purposes and should never be interpreted as a medical diagnosis, clinical opinion, treatment recommendation, or substitute for professional healthcare advice.
Harper does not determine whether a User requires counselling, psychotherapy, psychological assessment, psychiatric treatment, medication, hospitalization, emergency intervention, or any other professional healthcare service. Any decision to seek healthcare remains solely the responsibility of the User.
The Platform is not intended to evaluate an individual's suitability for employment, fitness for duty, return-to-work decisions, insurance eligibility, disability determinations, academic placement, legal proceedings, athletic participation, licensing decisions, or any other circumstance in which a regulated professional assessment is required. Harper's reports should not be relied upon for these purposes unless expressly authorized by Harper in writing.
Harper does not guarantee that any educational resources, wellness pathways, Peer Support interactions, Professional Referral suggestions, AI-generated information, or other Platform features will improve a User's wellbeing or produce any particular personal, professional, educational, or health-related outcome. Individual wellbeing is influenced by numerous biological, psychological, environmental, occupational, financial, social, and personal factors that are beyond Harper's knowledge or control.
The Platform is not designed or intended to provide emergency services or crisis intervention. Users experiencing a medical emergency, mental health crisis, suicidal thoughts, thoughts of harming others, or any other urgent situation requiring immediate assistance should contact local emergency services or an appropriate crisis resource without delay.
6. Your Responsibilities
Harper is intended to support informed wellness decision-making; however, the effectiveness of the Platform depends upon thoughtful participation by its Users. By using the Platform, you acknowledge that you are responsible for your own decisions, actions, and use of any information provided through Harper.
You agree to provide information that is complete, truthful, and accurate to the best of your knowledge. Because Personalized Insights are generated from information voluntarily provided by Users, incomplete, inaccurate, misleading, or intentionally false information may reduce the usefulness of the educational guidance generated by the Platform. Harper assumes no responsibility for conclusions or recommendations resulting from inaccurate information submitted by a User.
You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. You agree to notify Harper promptly if you believe your account has been accessed without authorization or if you become aware of any actual or suspected security breach involving your account.
You agree to use the Platform in a lawful, respectful, and responsible manner. You shall not misuse the Platform, interfere with its operation, attempt unauthorized access to Harper's systems or data, reverse engineer proprietary technologies, copy or distribute Platform content without authorization, use automated tools to extract Platform information, impersonate another individual, submit fraudulent information, or engage in any conduct that could impair the security, integrity, or availability of the Platform.
You acknowledge that Harper's Personalized Insights, educational resources, AI-supported guidance, wellness pathways, Peer Support services, and Professional Referral suggestions are intended to assist you in understanding your wellbeing and identifying appropriate support options. You remain solely responsible for determining whether to act upon any information generated by the Platform and for seeking qualified professional advice whenever you believe it is appropriate to do so.
You are solely responsible for obtaining emergency assistance whenever you believe you or another person may require immediate medical care, crisis intervention, or emergency services. Harper should never be relied upon as a substitute for emergency response or urgent healthcare services.
By continuing to use the Platform, you acknowledge that you understand both the capabilities and limitations of Harper and accept responsibility for your use of the Platform in accordance with this Legal Framework.
7. AI Features
Artificial intelligence ("AI") is an integral component of the Harper Can Help™ Platform and is used to enhance the educational, navigational, and personalized nature of the user experience. Harper may utilize AI technologies to assist with generating educational content, summarizing user responses, identifying relevant wellness resources, supporting adaptive wellness pathways, creating Personalized Insights, improving user engagement, facilitating Harper Signal™ communications, and enhancing overall Platform functionality.
Harper's AI features are designed to assist Users in better understanding their wellbeing through educational and informational content. AI is intended to complement, not replace, human judgment, professional healthcare, or independent decision-making. While Harper continuously evaluates and improves the quality of its AI systems, Users acknowledge that AI technologies may occasionally generate incomplete, inaccurate, outdated, or inappropriate information. Accordingly, Users should independently evaluate any AI-generated content before relying upon it.
Unless expressly stated otherwise, AI-generated information is not reviewed, approved, or verified by a licensed physician, psychologist, psychiatrist, counsellor, psychotherapist, nurse, social worker, or other regulated healthcare professional before being presented to the User. AI-generated outputs should never be interpreted as medical advice, psychological advice, legal advice, financial advice, or any other regulated professional opinion.
Harper may use de-identified information, aggregated analytics, user feedback, and quality assurance processes to improve the performance, safety, reliability, and usefulness of its AI technologies over time. Such improvements are intended to enhance the overall user experience while protecting User privacy in accordance with Harper's Privacy Policy.
By using the Platform, you acknowledge that portions of the Platform utilize AI and automated technologies and that you understand both the capabilities and limitations of those technologies. You further acknowledge that all healthcare, legal, financial, employment, educational, and other significant personal decisions remain your sole responsibility.
8. Professional Referrals
Harper Can Help™ includes a Professional Referral Network intended to assist Users in identifying independent healthcare professionals, wellness providers, community organizations, and other support services that may align with their preferences, location, stated needs, or areas of interest. The Professional Referral Network is designed to improve access to support by helping Users navigate available resources; it is not intended to recommend, endorse, or guarantee any particular provider or course of treatment.
Professionals participating in Harper's Professional Referral Network operate independently of Harper unless expressly stated otherwise in writing. Harper does not supervise, direct, employ, or control the professional judgment, treatment decisions, scheduling, billing practices, licensing status, record keeping, confidentiality obligations, or business operations of independent providers. Any professional relationship established following a referral exists solely between the User and the selected provider.
Referral suggestions generated by Harper may be based upon User preferences, geographic location, demographic information, areas of professional practice, language preferences, service availability, proprietary matching methodologies, adaptive branching logic, AI-assisted technologies, or other non-clinical factors. These suggestions are intended solely to help Users identify potential resources and should not be interpreted as clinical recommendations or professional advice.
Harper makes no representation or warranty regarding the competence, qualifications, availability, suitability, licensing status, treatment philosophy, fees, insurance participation, or outcomes associated with any independent professional. Users are encouraged to independently evaluate and verify the qualifications of any provider before engaging their services.
Where a User expressly authorizes Harper to transmit a Harper Check-In™, Personalized Insight, or other report to a selected professional, Harper's responsibility is limited to facilitating that transmission through commercially reasonable means. Harper does not guarantee that the professional will review the information, contact the User, accept the User as a client, or provide services within any particular timeframe.
9. Peer Support
Peer Support is an optional feature of the Harper Platform that enables Users to connect with other individuals for the purpose of sharing lived experiences, offering encouragement, promoting resilience, and fostering mutual support. Peer Support is intended to provide a respectful environment where individuals may learn from one another through shared experiences and personal perspectives.
Peer Support participants are not acting as physicians, psychologists, psychiatrists, counsellors, psychotherapists, crisis responders, or other regulated healthcare professionals unless expressly identified as such. Information exchanged through Peer Support reflects the personal experiences and opinions of individual participants and should not be interpreted as professional advice, diagnosis, treatment, or crisis intervention.
Participation in Peer Support is entirely voluntary. Users remain responsible for determining what personal information they choose to share and are encouraged to exercise sound judgment when communicating with others. Harper encourages respectful, supportive, and constructive interactions; however, Harper does not continuously monitor Peer Support communications and cannot guarantee the accuracy, completeness, appropriateness, or reliability of information shared by other participants.
Harper reserves the right to suspend, restrict, or terminate access to Peer Support where it reasonably believes that a User has violated Platform policies, engaged in inappropriate conduct, or created an unreasonable risk to other participants or the integrity of the Platform.
10. If You're Experiencing a Crisis
Harper Can Help™ is not an emergency response service, crisis intervention service, suicide prevention service, medical monitoring system, or emergency communications platform. The Platform is intended solely for non-urgent wellness education, personalized wellness navigation, and ongoing engagement.
Harper does not continuously monitor User activity, Check-In responses, AI interactions, Peer Support communications, or other Platform activity for emergencies or situations requiring immediate intervention. Although the Platform may encourage Users to seek additional support based on certain responses, these features are educational in nature and should never be interpreted as emergency monitoring or crisis response.
If you believe that you or another person may be experiencing a medical emergency, mental health crisis, suicidal thoughts, thoughts of harming others, severe emotional distress, abuse, violence, overdose, or any other situation requiring immediate assistance, do not rely on Harper. Immediately contact your local emergency services, an appropriate crisis resource, or a qualified healthcare professional.
By using the Platform, you acknowledge that Harper has no obligation to monitor Users for emergencies, initiate wellness checks, contact emergency services, notify family members, employers, healthcare providers, or other third parties, except where required by applicable law. You further acknowledge that you remain solely responsible for obtaining appropriate emergency assistance whenever immediate care or intervention may be required.
Harper is committed to promoting wellness, increasing awareness, and helping Users navigate appropriate support resources. The Platform is not intended to replace emergency services or urgent professional healthcare, and should never be used as a substitute for immediate intervention during a crisis.
11. Your Privacy
Your privacy is fundamental to the way Harper operates. We recognize that the information you choose to share with us is personal, and in many cases highly sensitive. Harper is committed to protecting your information through responsible data governance, commercially reasonable security practices, and transparent privacy policies designed to comply with applicable privacy legislation in the jurisdictions where we operate.
Harper collects only the information reasonably necessary to operate the Platform, personalize your experience, provide educational wellness insights, support adaptive pathways, facilitate Peer Support and Professional Referral services where requested, improve Platform functionality, maintain security, and fulfill our contractual and legal obligations. Information may include demographic information, wellness Check-In responses, account information, communication preferences, technical information relating to Platform usage, and other information voluntarily provided by you.
We do not sell your personally identifiable information to advertisers or unrelated third parties. We do not use your information to create advertising profiles or permit third parties to market unrelated products or services based upon your use of Harper.
Your information may be shared with carefully selected technology providers who assist us in operating the Platform, including secure cloud hosting providers, communication service providers, payment processors, analytics providers, security vendors, and other service providers performing functions on our behalf. Such providers receive only the information reasonably necessary to perform their contracted services and are expected to maintain appropriate confidentiality and security standards.
Where Harper is provided through an employer, educational institution, union, government agency, insurer, or other sponsoring organization, Harper's standard practice is to provide only aggregated and de-identified organizational reporting unless you have separately authorized disclosure of your personal information or disclosure is otherwise required by applicable law.
Subject to applicable law, you may have the right to access your personal information, request corrections, withdraw consent for certain processing activities, request deletion of information, or inquire regarding Harper's privacy practices. Additional details regarding your privacy rights are contained within Harper's Privacy Policy, which forms part of this Legal Framework.
12. Research & Improving Harper
One of Harper's core objectives is to continually improve personalized wellness navigation through responsible research, evidence-informed innovation, and ongoing evaluation of wellness outcomes. By understanding how individuals engage with the Platform over time, Harper seeks to improve the quality, usefulness, and effectiveness of its educational resources, proprietary wellness methodologies, AI technologies, adaptive pathways, and user experience.
To support these objectives, Harper may analyze information that has been de-identified or aggregated so that individual Users cannot reasonably be identified. Such information may be used for product development, quality assurance, validation studies, statistical analysis, longitudinal outcome evaluation, benchmarking, academic collaboration, public health reporting, publication of aggregated findings, machine learning improvement, and other legitimate research purposes consistent with this Legal Framework and applicable law.
Harper may also develop and refine proprietary wellness constructs, scoring methodologies, adaptive branching logic, algorithms, wellness indices, engagement models, and educational frameworks using de-identified information derived from Platform usage. These methodologies remain the exclusive intellectual property of Harper.
From time to time, Harper may collaborate with universities, research institutions, healthcare organizations, government agencies, nonprofit organizations, employers, insurers, and other qualified partners to advance wellness research and improve population-level understanding of wellbeing. Unless you provide separate authorization or disclosure is required by law, information shared for these purposes will be aggregated or de-identified to the fullest extent reasonably practicable.
By using the Platform, you acknowledge that responsible research and continuous improvement are integral components of Harper's mission and that the use of de-identified information contributes to improving wellness knowledge, educational resources, and future Platform capabilities while protecting individual privacy.
13. Organizations Using Harper
Harper is designed to support organizations that are committed to improving the wellbeing of their employees, members, students, athletes, clients, or other participating populations. Organizations using the Platform may include employers, educational institutions, government agencies, unions, professional associations, insurers, nonprofit organizations, healthcare organizations, athletic organizations, and other sponsoring entities (collectively referred to as "Organizations").
The Platform is intended to provide Organizations with meaningful population-level wellness information while protecting the privacy of individual Users. Unless you have provided separate informed authorization or disclosure is otherwise required by applicable law, Organizations will receive only aggregated and de-identified reporting designed to help them better understand overall wellness trends, engagement levels, educational utilization, resilience indicators, burnout trends, sleep patterns, cognitive load, social connection, and other population-level metrics.
Harper's organizational reporting is intended to support strategic planning, wellness programming, educational initiatives, resource allocation, and continuous improvement. It is not intended to identify individual Users or to support employment decisions, disciplinary actions, hiring decisions, promotions, termination decisions, insurance underwriting, disability determinations, fitness-for-duty evaluations, academic decisions, or other individual determinations affecting a specific person.
Organizations remain solely responsible for complying with all applicable employment laws, privacy legislation, occupational health and safety requirements, human rights legislation, collective agreements, educational regulations, contractual obligations, and other legal responsibilities applicable to their operations. Nothing contained within the Platform transfers those legal responsibilities to Harper.
Harper may also develop anonymous benchmarking reports comparing aggregated wellness trends across industries, occupations, geographic regions, organizational sectors, and demographic groups. Such benchmarking is intended to advance understanding of population wellness and will not identify participating Organizations or individual Users without appropriate authorization.
14. Ownership of the Platform
Harper Can Help™ is the exclusive owner, or authorized licensee, of all rights, title, and interest in and to the Platform, including all associated intellectual property, proprietary technologies, software, methodologies, content, and materials. Nothing contained within this Legal Framework transfers any ownership interest in the Platform or its underlying intellectual property to any User, Organization, or third party.
The Platform includes, without limitation, its software, source code, object code, databases, user interfaces, graphics, designs, layouts, reports, questionnaires, educational content, videos, written materials, scoring methodologies, algorithms, adaptive branching logic, proprietary wellness constructs, artificial intelligence systems, machine learning models, data structures, application programming interfaces, trademarks, service marks, logos, trade names, trade dress, copyrights, trade secrets, confidential information, patents, patent applications, and all future improvements, modifications, enhancements, and derivative works.
Without limiting the foregoing, Harper retains exclusive ownership of its proprietary methodologies and branded technologies, including but not limited to Harper Check-In™, Harper Signal™, Harper Pathways™, Harper Matrix™, Dual-Lens™, HerSpace™, HeyHarper™, EchoLink™, ClearSpace™, The Baseline™, and any current or future wellness indices, adaptive pathways, reports, engagement models, AI technologies, analytics, educational frameworks, or other proprietary systems developed by Harper.
Subject to your continued compliance with this Legal Framework, Harper grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform solely for its intended purposes. This license does not permit you to reproduce, modify, distribute, publish, sell, sublicense, lease, reverse engineer, decompile, disassemble, scrape, extract, create derivative works from, or otherwise exploit any portion of the Platform except as expressly authorized by Harper in writing.
If you voluntarily provide Harper with comments, suggestions, recommendations, enhancement requests, product ideas, or other feedback regarding the Platform, you acknowledge that Harper may use such feedback without restriction or obligation, including incorporating it into future versions of the Platform without compensation, attribution, or further consent.
15. Limits on Liability
Harper strives to provide a secure, reliable, and evidence-informed Platform; however, the Platform is provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law. Except as expressly stated in this Legal Framework, Harper makes no representations or warranties, whether express, implied, statutory, or otherwise, regarding the operation, availability, accuracy, completeness, reliability, suitability, security, or performance of the Platform.
You acknowledge that your use of the Platform is voluntary and entirely at your own risk. Harper cannot and does not guarantee that use of the Platform will improve your wellbeing, prevent illness, reduce stress, enhance resilience, identify every concern, generate any specific outcome, or result in successful referrals, educational achievement, employment outcomes, healthcare outcomes, or any other personal or professional benefit.
To the fullest extent permitted by applicable law, Harper, together with its affiliates, directors, officers, employees, contractors, advisors, licensors, technology providers, and agents, shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, economic, or similar damages arising out of or relating to your access to or use of the Platform, including loss of profits, business interruption, loss of goodwill, loss of data, loss of opportunity, reputational harm, emotional distress, personal injury, or any other commercial or personal loss, whether arising in contract, tort (including negligence), statute, or otherwise, even if advised of the possibility of such damages.
Harper shall not be responsible for the acts or omissions of independent healthcare professionals, Peer Support participants, Organizations, technology providers, internet service providers, payment processors, or any other third party whose services may be accessed through or integrated with the Platform.
To the fullest extent permitted by applicable law, Harper's aggregate liability arising out of or relating to your use of the Platform shall not exceed the greater of (a) the total fees actually paid by you to Harper during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Canadian dollars (CAD $100.00) or one hundred United States dollars (USD $100.00), as applicable to the jurisdiction governing your use of the Platform.
Nothing contained within this Legal Framework shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
The limitations, exclusions, releases, disclaimers, and indemnities contained within this Legal Framework are fundamental elements of the agreement between you and Harper and shall survive termination of your account or your use of the Platform.
16. Legal Terms
This Legal Framework constitutes the complete and exclusive agreement between you and Harper regarding your access to and use of the Platform and supersedes all prior discussions, communications, understandings, proposals, and agreements relating to the same subject matter.
This Legal Framework shall be governed by the laws of the jurisdiction identified by the Harper entity with which you contract, together with any mandatory consumer protection laws that apply to you. Users accessing the Platform through Harper Can Help Inc. shall generally be governed by the laws of the applicable Canadian province designated by Harper and the federal laws of Canada applicable therein. Users accessing the Platform through Harper Can Help US Inc. shall generally be governed by the laws of the designated U.S. state identified by Harper, together with applicable federal law. Nothing contained herein is intended to limit any legal rights that cannot be waived under applicable law.
Harper may revise this Legal Framework from time to time to reflect changes in law, technology, Platform functionality, industry standards, or business operations. Where required by applicable law, Harper will provide reasonable notice of material changes. Your continued use of the Platform following the effective date of any revised Legal Framework constitutes your acceptance of those revisions.
If any provision of this Legal Framework is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted so as to most closely reflect the original intent of the parties while complying with applicable law.
Harper's failure to enforce any provision of this Legal Framework shall not constitute a waiver of that provision or any other provision. Any waiver shall be effective only if made in writing and signed by an authorized representative of Harper.
You may not assign, transfer, delegate, or otherwise dispose of any rights or obligations arising under this Legal Framework without Harper's prior written consent. Harper may assign or transfer this Legal Framework, in whole or in part, in connection with a merger, acquisition, corporate restructuring, financing, sale of assets, or other business transaction without restriction.
You consent to receiving notices, disclosures, agreements, updates, and other communications electronically through the Platform, email, Harper Signal™, or other electronic means. Electronic communications shall satisfy any legal requirement that such communications be in writing to the fullest extent permitted by applicable law.
Section headings are included solely for convenience and shall not affect the interpretation of this Legal Framework.
The provisions relating to intellectual property, privacy, research, limitations of liability, releases, indemnification, dispute resolution, and any other provisions that by their nature should survive termination shall continue in effect following termination of your account or your use of the Platform.
By creating an account, selecting "I Accept," completing a Harper Check-In™, or otherwise accessing or using the Platform, you acknowledge that you have carefully read this Legal Framework, understand its contents, and voluntarily agree to be legally bound by its terms.
